ShopDot Network Operator Portal Terms

These Network Operator Portal Terms (these "Portal Terms") govern use of the ShopDot Network Operator Portal (the "Portal") by each individual who accesses it. Each person accepts them when creating an account, and they apply to that person's use of the Portal.
These Portal Terms are not the Network Operator Agreement. The commercial relationship between ShopDot and a network operator — appointment, territory, fees, payouts, merchant-of-record responsibilities, data ownership, liability, term and termination — is governed by the Network Operator Agreement signed between ShopDot, Inc. ("ShopDot") and that operator (the "Agreement"). Where these Portal Terms conflict with the Agreement, the Agreement governs. Nothing in these Portal Terms varies the Agreement, and accepting these Portal Terms does not create, extend, or alter any commercial term.
In these Portal Terms, "Network Operator" means the entity that has entered into the Agreement, "you" means the individual accepting these Portal Terms, and "Authorized User" means each individual whom Network Operator authorizes to access the Portal.
1. Your account
You must be an Authorized User of a Network Operator that has a current Agreement with ShopDot. You will provide accurate and current information when you register and will keep it current.
Accounts are personal to the individual. You will not share your credentials with anyone, use another person's account, or permit anyone else to use yours. You are responsible for activity under your account, and Network Operator is responsible under the Agreement for the acts and omissions of its Authorized Users in connection with the Portal.
You will notify ShopDot at support@shopdotapp.com promptly if you learn of any unauthorized use of your account or any other breach of security affecting the Portal.
2. What you may use the Portal for
ShopDot grants you a revocable, non-transferable, non-sublicensable right to access and use the Portal solely to perform Network Operator's obligations and exercise its rights under the Agreement, and for no other purpose. This right ends when your authorization ends or when the Agreement ends, whichever is first, except for any period after termination during which the Agreement requires ShopDot to maintain access.
3. What you may not do
You will not:
(a) access or use the Portal other than as Section 2 permits, or access any part of it you have not been authorized to access;
(b) copy, extract, scrape, or systematically download the contents of the Portal, or use any automated means to access it, except through an interface ShopDot makes available for that purpose;
(c) reverse engineer, decompile, or disassemble any part of the Portal, or attempt to derive its source code, except as applicable law permits;
(d) use the Portal, or anything learned through it, to build, supply, or operate a commerce, storefront, catalog, or supplier-sourcing service that competes with the ShopDot Platform;
(e) circumvent or attempt to circumvent any access control, rate limit, or security measure;
(f) interfere with the operation of the Portal or the infrastructure on which it runs; or
(g) misrepresent your identity or your authority to act for Network Operator.
4. What you see in the Portal is confidential
The Portal exposes information that is confidential to ShopDot, to its suppliers, and to selling partners — including supplier catalogs, commission rates, fee schedules, selling partner lists and performance data, order and payout records, and product content not otherwise published.
You will treat all of it as Confidential Information of ShopDot under the Agreement. You will not disclose it to anyone outside Network Operator, will not use it for any purpose other than the one stated in Section 2, and will not retain a copy after your access ends, except where the Agreement expressly permits an export or applicable law requires retention.
Wholesale prices, fee schedules, and commission rates are ShopDot's confidential commercial terms. Publishing them, or providing them to a supplier, a selling partner, or any other third party, is a breach of these Portal Terms and of the Agreement.
5. Personal information you see in the Portal
Where the Portal makes personal information of a customer, selling partner, or supplier available to you, you will access and use it only as needed to perform Network Operator's obligations under the Agreement, and only as the data processing terms scheduled to the Agreement permit.
You will not export personal information from the Portal for marketing, will not add any person to a marketing list, audience, or database from it, and will not combine it with any list held by Network Operator or a third party, except where the Agreement expressly permits it.
6. Suspension
ShopDot may suspend or terminate your individual access to the Portal, without notice, where ShopDot reasonably believes these Portal Terms have been breached, where your access presents a security risk, or where Network Operator no longer authorizes you.
Suspension of an individual account is not a suspension or termination of the Agreement and does not, by itself, affect Network Operator's rights under it. ShopDot's rights to suspend or terminate the Agreement are governed by the Agreement.
7. Availability and changes to the Portal
ShopDot may change, add to, or discontinue features of the Portal. Where the Agreement states a service level, a notice period, or a commitment about platform changes, that provision governs and nothing in this Section reduces it.
Except as the Agreement provides, the Portal is made available as is, and ShopDot's liability in respect of it is limited as the Agreement provides.
8. Privacy
ShopDot's handling of personal information collected through the Portal is described in the ShopDot Privacy Policy.
9. Changes to these Portal Terms
ShopDot may modify these Portal Terms. When it does, ShopDot will publish the updated version and update the Last Updated date above.
A change that materially reduces your rights or adds a material obligation takes effect thirty (30) days after ShopDot posts notice of it in the Portal. Any other change takes effect when ShopDot publishes it. Continued use of the Portal after a change takes effect constitutes acceptance of the updated Portal Terms.
These Portal Terms govern use of the Portal only. A change to these Portal Terms never changes the Agreement, and no change to these Portal Terms can alter a commercial term, a fee, a payout, or any right or obligation stated in the Agreement.
10. Governing law and disputes
These Portal Terms are governed by the law that governs the Agreement, and any dispute arising out of them is resolved in the manner the Agreement provides.
